The journal Giurisprudenza Commerciale, in no. 5/2021, published the article by Gregorio Salatino on the topic: "The "guarantee pact" in the contracts for the sale of shareholdings: practice and evolution" (page 996/I and following). The article reproduces, with additions and additions, the report that Gregorio Salatino gave on May 2, 2020 during the inaugural webinar of the law firm Avv. Gregorio Salatino - Studio Legale. In particular, we point out the question of the applicability to the "declarations and guarantees" of provisions dictated on the subject of insurance contracts, and/or principles deriving from those provisions. Clauses are often included in the contracts to overcome the "pitfalls" deriving from the application of the code legislation on the subject of buying and selling. In reality, it would be necessary to "come to terms" (even or rather) with the legislation dictated on the subject of insurance contracts, given that the "declarations and guarantees" are a risk allocation pact. The issues dealt with are certainly complex and partly still unexplored. But the article is written in simple language, and is understandable even for the less experienced.
